You must have a business plan

First of all, make a business plan. It doesn't have to be a very long document, but it's important to have an idea of ​​the target audience, product description, market research, etc.

Will there be a society?

You need to decide if you will run the company alone or if you will have a partner to share the business. The result of this decision will imply the legal nature of your bakery.

Legal nature and tax regime

You will have a few legal types to choose from, and having a partnership or not may influence your choice. If you have a partner, for example, you can choose Sociedade LTDA. However, if you go it alone, you can choose between MEI, EI or Sociedad Unipessoal.

The latter is the most common, as it separates the legal and personal assets, in addition to not requiring a minimum share capital.
Regarding the tax regime, there are two options: National Simple and Presumed Profit or Real Profit. The first is the most chosen among companies.

Licensing and other issues

To open a bakery, you will need a health permit, as well as a state registration. To advise you on decisions such as tax regime, legal nature, CNAE and corporate purpose, it is best to hire an accountant. Once that's done, you still have to:

  • Check if the company name is available in the Federal Revenue database;
  • Check if the trade name is available at the INPI;
  • Draw up the social contract;
  • Register the company and obtain the business license.

Regarding the tax on your bakery, you need to know that, if you opt for Simples Nacional, taxes will be calculated according to your billing, with varying rates between 4% and 19%.
